Corporate Paralegal

San Francisco

MuleSoft's small, but mighty, Corporate Legal team is looking for a Corporate Paralegal to help us build a world-class corporate infrastructure. In this role, you will report to our Senior Corporate Counsel and will make an immediate impact in a fast-moving and challenging environment.

Responsibilities include public company filings (including Section 16 and proxy statement), international entity management, board and stockholder meetings and minutes, M&A-related diligence activities, and other corporate law matters.

Goals for your first three months:

30 days:

  • Become familiar with MuleSoft’s compliance calendar and organization
  • Draft and maintain board and committee meeting materials, resolutions and minutes, including managing the board portal

60 days:

  • Help with various stock-related matters including coordination of trading blackouts and notices, and trade pre-clearance processes
  • Become the point person for any M&A-related diligence activities

90 days:

  • Begin preparing for annual meeting, proxy statement and related documentation, including D&O Questionnaires
  • Begin planning to take over Section 16 filings
  • Manage international subsidiaries, process and maintain regulatory filings (i.e. state qualification filings and local licenses); maintain web-based corporate records database; and manage external corporate secretarial service

About You:

  • Dedication and be self-motivated and excited to take on significant responsibility in a fast-moving organization
  • Ability to spot issues and develop paths to resolutions
  • Experience with Board meetings, communicating with directors and preparing board materials and minutes
  • Experience working as a corporate paralegal, preferably at both a public company (ideally a global NYSE listed company) and a law firm
  • Strong organizational skills and meticulous attention to detail
  • Ability to prioritize and handle multiple projects at a time
  • Strong interpersonal skills and can interact effectively with all levels of management and staff
  • Knowledge of corporate and securities laws
  • Strong communication skills
  • Proficiency with Microsoft Office Programs (Word, Excel and PowerPoint)
  • BA/BS with distinguished academic record
